1 Definitions

• "Services" refers to all products, services, and solutions offered by CloudNetix
• "User," "You," "Your" refers to the individual or entity using our Services
• "Content" refers to all materials, data, and information provided through our Services

2 Services Overview

CloudNetix provides the following IT services:

3 Account Registration

To access certain Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your account credentials confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized access

4 Acceptable Use Policy

When using our Services, you agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Engage in unauthorized access to systems or networks
• Send spam, phishing emails, or unsolicited communications
• Host illegal content or engage in fraudulent activities
• Attempt to disrupt or overload our infrastructure
• Resell Services without written authorization

Violation of this policy may result in immediate termination of Services without refund.

5 Payment Terms

Pricing and Billing

• All prices are in the currency specified at checkout
• Prices may change with 30 days' notice for recurring services
• Invoices are due upon receipt unless otherwise agreed
• Late payments may incur additional fees

Refund Policy

• Hosting Services: 30-day money-back guarantee for new accounts
• Domain Registration: Non-refundable once registered
• Custom Development: As per individual project agreement
• Hardware/Installation: Subject to restocking fees

6 Service Level Agreement (SLA)

Service credits may be issued for downtime exceeding guaranteed levels. Credits are calculated as a percentage of monthly fees and applied to future invoices.

7 Intellectual Property

• CloudNetix retains all rights to our proprietary software, tools, and methodologies
• Custom work product is transferred to the client upon full payment
• Third-party software remains subject to their respective licenses
• You retain ownership of your data and content

8 Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the fees paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• We do not guarantee uninterrupted or error-free service
• We are not responsible for third-party actions or services

9 Termination

Either party may terminate services:

• By User: With 30 days' written notice for monthly services
• By CloudNetix: Immediately for violation of Terms, or with 30 days' notice for other reasons

Upon termination, you must pay all outstanding fees, and we will provide reasonable assistance in data migration.

10 Governing Law

These Terms are governed by the laws of Switzerland. Any disputes shall be resolved in the courts of Zurich, Switzerland, unless otherwise required by applicable consumer protection laws.

11 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or website notice. Continued use of Services after changes constitutes acceptance of the new Terms.
